ARTICLE 1        :         IISRI COUNCIL

The IISRI Council serves as the governing body of the Industry Integrated Study and Research Institute (IISRI). This council comprises esteemed professionals and experts from various industries, ensuring the institute's alignment with contemporary practices and advancements in management and technology. The primary responsibilities of the IISRI Council include:
1. Industry Integrated Study and Research Institute Strategic Direction Industry Integrated Study and Research Institute: Providing strategic guidance to uphold IISRI’s mission and vision.
2. Industry Integrated Study and Research Institute Policy Formulation Industry Integrated Study and Research Institute: Developing policies that foster an environment of excellence in education and research.
3. Industry Integrated Study and Research Institute Quality Assurance Industry Integrated Study and Research Institute: Ensuring the institute meets the highest standards of quality and integrity in all its programs and activities.
4. Industry Integrated Study and Research Institute Resource Allocation Industry Integrated Study and Research Institute: Overseeing the allocation of resources to support academic and research initiatives.
5. Industry Integrated Study and Research Institute Stakeholder Engagement Industry Integrated Study and Research Institute: Facilitating collaboration with industry, academia, and governmental bodies to enhance the institute’s impact.
6. Industry Integrated Study and Research Institute Evaluation and Review Industry Integrated Study and Research Institute: Conducting regular evaluations of the institute’s performance and implementing improvements where necessary.
The IISRI Council plays a pivotal role in shaping the institute’s future, ensuring it remains a leader in providing integrated education and research opportunities globally.

ARTICLE 2        :         MEMBERSHIP ON THE INSTITUTION COUNCIL

Industry Integrated Study and Research Institute Composition:

  • The IISRI Council will include representatives from the institution's faculty, students, administration, supportive professional staff, and operating staff.
  • Voting seats on the IISRI Council will be distributed among these constituencies as stipulated in the bylaws, which will also specify the selection process for these seats.

Industry Integrated Study and Research InstituteApportionment of Faculty Representation:

  • Faculty representatives will serve a five-year term, in addition to the seats already allocated to elected faculty representatives by the constitution and its bylaws.

Industry Integrated Study and Research InstituteApportionment of Student Representation:

  • The Institution Council, guided by the bylaws, will determine student eligibility for Council membership and the distribution of seats among various student constituencies.

Industry Integrated Study and Research InstituteApportionment of Institution Administration:

  • The institution administration will be represented by the president, executive vice president, provost, and other specified officers, who are entitled to participate and vote in the Institution Council deliberations.
  • Additional administrative representatives, with the right to participate but not vote, may be specified in the bylaws.

Industry Integrated Study and Research InstituteRepresentation of Supportive Professional Staff:

  • Full-time supportive professional staff will have designated representatives on the Institution Council, with the number and selection process outlined in the institution bylaws.

Industry Integrated Study and Research InstituteRepresentation of Operating Staff:

  • The operating staff will also be represented on the Institution Council, with the number of representatives and selection process detailed in the institution bylaws.

Industry Integrated Study and Research InstituteAlternates for Members of the Institution Council:

  • The bylaws will outline the selection process for alternate members.
  • Voting at Institution Council meetings will not be permitted by proxy or absentee ballot.

Industry Integrated Study and Research InstituteTerms of Office:

  • Institution Council members will serve five-year terms, except for student representatives, who will serve three-year terms.
  • Ex officio members will serve for the duration of their term in office.

Industry Integrated Study and Research InstituteRemoval from Institution Council Membership:

  • Elected members may be removed by a two-thirds vote of the total Institution Council voting membership after three successive absences from regularly scheduled meetings.
  • Vacancies resulting from removal will be filled for the remaining term through procedures established in the bylaws for filling such vacancies.
  • ARTICLE 3        :         OFFICERS OF THE INSTITUTION COUNCIL

 

Presiding Officer of the Institution Council:

  • The president of the Institution shall serve as the presiding officer of the Institution Council. In the president's absence, the executive vice president and provost will assume the responsibilities of the presiding officer. If both the president and the executive vice president and provost are unavailable, the dean on the Institution Council with the most seniority in terms of service will take over the duties of the presiding officer. The presiding officer of the Institution Council holds the privilege of voting.

Executive Secretary of the Institution Council:

  • The executive secretary of the Institution Council will be elected by the voting members of the Institution Council from among the elected faculty members, as outlined in the Constitution.

ARTICLE 4        :         ACADEMIC COUNCIL

The composition and functions of the standing committees of the Institution Council will be detailed in the IISRI Bylaws.
The Academic Council will have authority and oversight over the maintenance of teaching and examination standards within the Institution. The Academic Council will include:

  • The Director Academic
  • The Registrar / Provost
  • The Deans of Faculties
  • Heads of all Programs / Departments

Members of the Academic Council will serve a term of five years.

ARTICLE 5        :         MEETINGS OF THE INSTITUTION COUNCIL

  • Regular sessions of the Institution Council will convene once a month throughout the fall and spring semesters.
  • Special meetings of the Institution Council may be called by the president, the Steering Committee of the Institution Council, or upon a written request submitted to the executive secretary by one-fourth of its members at any time during the calendar year.
  • Adequate written notice, outlining the time and purpose of all meetings, will be provided to members of the Institution Council by the executive secretary in accordance with the advance notice provisions detailed in the Institution bylaws.

 

ARTICLE 6        :         FACULTIES, STANDING COMMITTEES, COUNCILS AND BOARDS OF THE FACULTY AND ADMINISTRATION

The Institution:

    • Definition of Institution Faculty: The Institution faculty includes all full-time staff members holding the ranks of professor, associate professor, assistant professor, and instructor.
    • Standing Committees of the Institution: The Institution Council will have standing committees as outlined in the bylaws.
    • Committee Reporting: These committees are required to report all actions to the Institution Council. This reporting includes the distribution of minutes, submission of annual activity reports, and periodic presentation of action summaries.

The Graduate School:

    • Definition of Graduate Faculty: The graduate faculty consists of individuals approved by the Graduate Council and the dean of the Graduate School, based on recommendations from academic departments. These individuals are granted membership in the graduate faculty.

The Council of Deans:

    • Composition: The Council of Deans shall include the executive vice president and provost as the chair, vice provosts, deans, and additional academic personnel deemed appropriate and necessary by the executive vice president and provost and deans.

ARTICLE 7        :         RELATED COUNCILS

Students:
Students have the right to establish an association for participation in the governance of the Institution. Once approved through a student referendum and by the Institution president, this association becomes a formal part of the Institution's governance system. Through their association, students can raise concerns with the Institution Council or the associate vice president for student affairs, who will then communicate these concerns to the provost and president. The final appeal lies with the Board of Trustees.
Operating Staff:
The right of the operating staff to form a council representing their constituency within the Institution is recognized. This council is integrated into the Institution's governance system, allowing the operating staff to convey concerns to the Institution Council, the relevant vice president(s), and the president. The ultimate appeal reaches the Board of Trustees.

Institution Faculty:
The faculty, comprising regular, full-time academic staff (excluding specific roles), have the right to organize a Faculty Senate. This Senate is an integral part of the Institution's governance, serving as the authoritative voice of the faculty. It communicates concerns, recommendations, and positions to the Institution Council, the executive vice president and provost, and the president. The Board of Trustees is the final appeal authority. The Institution bylaws will detail the Faculty Senate's membership, selection process, duties, and responsibilities.

Supportive Professional Staff:
The right of the full-time supportive professional staff to form a council representing their constituency is acknowledged. This council is integrated into the Institution's governance system, allowing the supportive professional staff to communicate concerns to the Institution Council or the relevant vice president(s), with the ultimate appeal reaching the president and the Board of Trustees.

ARTICLE 8        :         SELECTION OF A PRESIDENT

Selection of the Institution President:
The selection of a new president for the Institution involves significant input from the Board of Trustees, faculty, students, supportive professional staff, operating staff, and other members of the Institution community. Once authorization for the search is granted, a dedicated search committee will oversee the process.
The search committee will implement procedures to ensure the active participation of representative constituencies in the interview process. The search will be coordinated on campus, with the Institution providing the necessary space and support personnel.

ARTICLE 9        :         HUMAN RIGHTS

Academic Freedom:
Academic freedom is a fundamental principle of the academic community, encompassing the freedom of thought, inquiry, and scholarly and artistic expression. The Institution is committed to preserving this principle, ensuring an environment that supports the free exploration of ideas, the pursuit of knowledge, and creative expression.
Equality of Treatment:
The Institution is dedicated to providing fair, impartial, and equal treatment to all community members, regardless of sex, race, national origin, ancestry, marital status, age, color, veteran status, political views or affiliation, religious views or affiliation, sexual orientation, gender identity, gender expression, physical or mental disability, or any other factors unrelated to their scholarly or professional performance. The Institution may also implement specific measures to promote affirmative action.
Due Process:
To ensure fairness and protect the rights and welfare of both individuals and the Institution, the Institution will establish orderly procedures that uphold due process.
Procedures:
The bylaws will define the procedures for safeguarding these rights, providing a structured framework for their implementation.

ARTICLE 10      :         AMENDMENT PROCEDURES

Amendment Procedures: Amendments to the constitution will follow the procedures outlined below:
1. Proposal Introduction: A written notice proposing an amendment may be introduced at any regular meeting of the Institution Council by either a voting or non-voting member. No final action on the proposed amendment will be taken until at least the next regular meeting of the Institution Council.
2. Council Approval: To approve the proposed amendment, a two-thirds majority vote is required from the Institution Council members who cast their votes.
3. Faculty Referendum: Following approval by the Institution Council, the proposed amendment must be approved through a faculty referendum, where a majority of participating voters must concur.
4. Board of Trustees Approval: The final step is obtaining approval of the proposed amendment from the Board of Trustees, in accordance with the Board of Trustees Governance Documents.
